Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Vesperglow mobile application, the website at vesperglow.ing, and related services provided by Profores LLC (“ Profores,” “we,” “us,” or “our”) (collectively, the “Services”).
1. Agreement
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be able to form a binding contract in your jurisdiction and meet any minimum age requirements to use the Services.
3. The Services
Vesperglow provides tools to help couples organize wedding-related planning information such as guest lists, RSVPs, dietary notes, seating, and exports. Features may vary by platform (iOS/Android/Web) and tier. We may modify, suspend, or discontinue features with reasonable notice where practicable.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. Notify us promptly of unauthorized use.
5. Acceptable use
You agree not to misuse the Services, including by attempting to access systems without authorization; interfering with other users; uploading malware; scraping or automated access that burdens our infrastructure; or using the Services in violation of law. You are responsible for the accuracy of information you enter and for obtaining consent where you process others’ personal data.
6. Intellectual property
The Services, including software, branding, and content we provide, are owned by Profores or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for personal wedding planning purposes in accordance with documentation we provide.
7. User content
You retain rights to content you submit. You grant Profores a license to host, process, and display your content as needed to operate and improve the Services. You represent that you have the rights to submit such content.
8. Third-party services
The Services may integrate with or link to third-party services. Those services are governed by their own terms and privacy policies.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROFORES AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100), UNLESS APPLICABLE LAW REQUIRES OTHERWISE.
11. Indemnity
You will defend and indemnify Profores against claims arising from your use of the Services, your content, or your violation of these Terms, to the extent permitted by law.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms or if needed for legal or security reasons.
13. Governing law & venue
These Terms are governed by the laws of the State of Wyoming, USA, excluding conflict-of-law rules, unless mandatory consumer protections in your jurisdiction require otherwise. Courts located in Wyoming shall have exclusive jurisdiction subject to mandatory provisions.
14. Changes
We may update these Terms by posting a revised version and updating the “Last updated” date. Continued use after changes become effective constitutes acceptance where permitted by law.
